1. Introduction
These Terms and Conditions (“Terms”) govern the provision of IT and web development services by Nirvign Web Solutions Pvt Ltd (“Company”, “we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.

2. Services Provided
We provide IT services including but not limited to:
- Web design and development
- E-commerce solutions (Magento, Shopify, etc.)
- Mobile and web application development
- API integrations
- Technical support and maintenance
The specific scope, deliverables, and timelines will be set out in a project proposal or service agreement.

3. Fees & Payment
- All fees are as agreed in writing and payable in GBP unless otherwise stated.
- A deposit may be required before work commences.
- Invoices are payable within 14 days of the invoice date.
- Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Client Responsibilities
You agree to:
- Provide all necessary information, materials, and approvals promptly.
- Ensure that you have the rights to any content provided to us.
- Respond to communications in a timely manner.

5. Intellectual Property
- All intellectual property created for you will remain our property until full payment has been received.
- Upon payment in full, ownership of deliverables will be transferred to you, unless otherwise agreed.
- Pre-existing code, frameworks, or third-party assets remain the property of their respective owners.

6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

7. Limitation of Liability
We will not be liable for any indirect, incidental, or consequential damages. Our total liability will not exceed the total fees paid by you for the relevant project.

8. Termination
Either party may terminate the agreement in writing with 14 days’ notice. You will be invoiced for all work completed up to the termination date.

9. Governing Law
These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of its courts.
